Terms of Service

Project Agreements
Each engagement is governed by a separate project agreement that defines scope, deliverables, timeline, and fees. These Terms apply to all engagements unless superseded in writing.
Payment
A deposit is required before work begins. Remaining fees are invoiced on a milestone basis as defined in the project agreement. Overdue balances accrue interest at 1.5% per month.
Intellectual Property
Upon full payment, the client owns all project deliverables. OmniQm Labs retains the right to reference the work in its portfolio unless that right is waived in writing.
Third-Party Services
Deliverables may rely on third-party services, APIs, or platforms. OmniQm Labs is not responsible for changes to third-party services made after delivery.
Confidentiality
We keep client information, business details, and project materials confidential and use them only to deliver the engaged services.
Limitation of Liability
OmniQm Labs’ total liability arising from any engagement is capped at the fees paid for that project.
No Warranty
Deliverables are provided as-is following acceptance. We offer a 30-day window after delivery to resolve reported issues in the delivered scope.
Governing Law
These Terms are governed by the laws of the State of Florida. Any disputes will be resolved in the courts of Orange County, Florida.
Changes
We may update these Terms from time to time. Changes are effective upon posting to this page.
